Bio

Francisco Carrillo represents a variety of clients in cross-border mergers, acquisitions, dispositions and other corporate matters, with a particular focus in Latin America. Among others, Mr. Carrillo has represented:

  • Actis in the sale of Atlas Renewable Energy, an international renewable energy generation company with 14 fully contracted solar assets that produce 2.3 GW of installed capacity, across Brazil, Chile, Mexico and Uruguay. This deal was named 2022 M&A Deal of the Year by Latin Lawyer and Energy Transition Deal of the Year by Infrastructure Investor
  • Citigroup Inc. and its affiliates in various matters, including:
    • the sale to Insigneo Financial Group of a Puerto Rico-based broker-dealer, Citi International Financial Services LLC, and Citi Asesores de Inversion Uruguay S.A., an investment advisory firm in Uruguay’s free-trade zone, which together provide wealth management services to clients in Latin America and the Caribbean
    • various post-closing matters relating to the sale of its consumer banking and credit card businesses: to Scotiabank, in Colombia, Panama and Costa Rica; and to Terra Group, in El Salvador
  • a Mexican sporting goods retailer in its acquisition of a minority interest in, and option to acquire up to 100% of, a major sporting goods distributor in Latin America
  • Softbank in its minority investment in Petlove, Brazil’s largest online pet products retailer
  • an Asian company in connection with a proposed sell-side auction of its interest in a Latin America mining project

Prior to joining Skadden, Mr. Carrillo advised on M&A for several years at a leading law firm in Peru. Transactions in which he was involved prior to joining the firm, among others, include representing:

  • Sandvik Group in its acquisition of DSI Underground, a global leader in ground support and reinforcement products, systems and solutions for the underground mining and tunneling industries
  • IFM Investors in its $2.6 billion global acquisition of OHL Group’s infrastructure concessions portfolio
  • Brookfield Asset Management in its acquisition of a majority stake in Peruvian toll road consortium Rutas de Lima. This deal was named Private Equity Deal of the Year by Latin Lawyer
  • Abastible in its acquisition of Repsol’s Peruvian and Ecuadorean liquefied petroleum gas companies for a combined $335 million
  • Duke Energy in its $114 million sale of Las Flores, its thermoelectric power generation plant
  • Trafigura in its sale of the Peruvian copper producer Compañia Minera Condestable to Southern Peaks Mining
