Abby Davis represents U.S. and international clients in a wide variety of complex commercial disputes, commercial arbitrations, securities litigations and bankruptcy-related litigations in both federal and state court.

Bio

Ms. Davis has counseled both plaintiffs and defendants on matters involving claims of violations of federal securities laws, breach of contract, fraud, breach of fiduciary duty and tortious interference.

Representative complex commercial litigations and arbitrations include:

  • Neuberger Berman Group LLC in successfully defending multifront litigation, including three preliminary injunction motions in three different courts in connection with a business combination valued at $12.5 billion
  • a U.S. renewables company in connection with multiple litigations, expert proceedings and an arbitration following the acquisition of a U.S.-based renewables company
  • a major German automotive company in arbitration involving a billion-dollar breach of contract claim brought by a U.S. manufacturing company
  • Lyft, Inc. in obtaining an annulment in New York state court of a rule passed by the New York City Taxi and Limousine Commission that would have imposed severe limitations on Lyft’s business

Representative securities litigations include:

  • Exxon Mobil in a putative class action asserting claims under the Exchange Act in connection with public statements concerning production goals
  • Applied Digital Corporation and certain current and former officers and directors in connection with a putative class action asserting claims under Sections 10(b) and 20(a), and the successful dismissal of a related derivative action
  • the underwriting syndicate (including Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC, Guggenheim Securities, LLC, Morgan Stanley & Co. LLC, Barclays Capital Inc., UBS Securities LLC, Cowen and Company, LLC, Credit Suisse Securities (USA) LLC, Oppenheimer & Co. Inc., MUFG Securities Americas Inc., Nomura Securities International, Inc., Johnson Rice & Company L.L.C., Roth Capital Partners, LLC and Piper Sandler & Co.) of Array Technologies, Inc.’s October 2020 initial public offering, December 2020 secondary offering and March 2021 secondary offering in a putative class action asserting claims under Sections 11 and 12
  • Coinbase Global and Coinbase, Inc. in a securities class action relating to whether 79 digital assets traded on the Coinbase platform were unregistered securities

Representative bankruptcy and bankruptcy-related representations include:

  • Endo International PLC, a specialty pharmaceutical company, and its affiliates in their transnational Chapter 11 cases involving $8 billion of debt and mass tort claims, including successfully resolving multiple complex adversary proceedings and contested matters
  • Noble Corp. in securing approvals of two settlements in U.S. Bankruptcy Court, which ended a $2.7 billion fraudulent transfer claim
  • Nortel Networks S.A. in securing a favorable settlement regarding the allocation of $7.3 billion of asset-sale proceeds in the Nortel bankruptcy cases

In recognition of her work, Ms. Davis has been recognized by Benchmark Litigation as a Future Star.

Ms. Davis has also been recognized repeatedly for her outstanding commitment to pro bono work, particularly her dedication to asylum work for the LGBTQ+ community.

Ms. Davis is heavily involved in the firm’s recruiting efforts and serves as the hiring partner of Skadden’s Houston office.
