Dan Herrmann advises public and private companies, private equity firms, senior management teams and members of management, boards of directors and compensation committees on executive compensation and employee benefits matters.

Bio

Mr. Herrmann particularly focuses on issues arising in connection with U.S. and cross-border mergers and acquisitions, divestitures, spin-offs, initial public offerings and other transactions. He has extensive experience working with both private companies of all stages of growth and public companies across a wide range of industries.

Mr. Herrmann works in tandem with clients to find practical solutions to complex and challenging compensation and benefits-related issues. He regularly advises clients on the design, implementation and administration of equity and cash incentive arrangements and the negotiation of employment, severance and change -in-control agreements. He frequently counsels clients on tax rules relating to deferred compensation, “golden parachute” payments and limits on the deductibility of executive compensation and has experience assisting clients on plan design considerations and operational compliance with IRS and ERISA requirements. In addition, Mr. Herrmann advises on the U.S. Securities and Exchange Commission rules governing executive compensation disclosure, securities laws and relevant corporate governance matters
