Antonio Invernizzi
Bio
Antonio Invernizzi advises corporations and financial sponsors on a wide range of cross-border corporate transactions, including public and private mergers and acquisitions and certain capital markets transactions. He is also a member of Skadden’s Italian practice that has been repeatedly named International Italian Desk of the Year by TopLegal and received Legal Community’s U.S. Italian Desk award.
Mr. Invernizzi’s experience includes advising:
- Aker ASA on its $2 billion Series C funding round in Nscale Global Holdings Limited, the largest in European history at the time. As part of the transaction, Aker’s 50% stake in the Aker Nscale joint venture was rolled up into Nscale
- Advantest Corporation on a series of transactions related to Technoprobe S.p.A., including: the acquisition by Advantest Europe GmbH of a minority stake in Technoprobe by its controlling shareholder T-Plus S.p.A.; the commercial and strategic partnership to develop and supply printed circuit boards (PCBs); and the acquisition by Advantest America, Inc. of Technoprobe’s PCB manufacturing plant operated by its subsidiary Harbor Electronics, Inc.
- Investindustrial and its portfolio companies on several matters, including the acquisitions of:
- the Procon Products Business division of Standex International Corporation
- Micropump Inc. from IDEX Corporation
- Adroit USA, Inc. from its shareholders
- SDCL EDGE Acquisition Corporation on its:
- $200 million IPO on the NYSE
- proposed business combination with cunova and KME Group’s aerospace specialty metals business for an enterprise value of approximately $736 million
- United Talent Agency on various matters, including the acquisition of Representatives of Outstanding Footballers (ROOF)
- Compass Group on its $159 million acquisition by Vinci Partners Investments Ltd
- L’Occitane International S.A. on its acquisition of Dr. Vranjes Firenze, a luxury home fragrance brand headquartered in Italy, from its founder and Bluegem Capital
- the lead underwriters on the Republic of Italy’s $1 billion tap offering of 3.875% notes due 2051
- Stevanato Group S.p.A. on its $692.5 million IPO on the NYSE, the first-ever Italian company to list ordinary shares as opposed to American depositary receipts on a U.S. stock exchange
Mr. Invernizzi previously spent 10 months on secondment at Investindustrial, where he advised on a number of significant M&A transactions, including the acquisition of TreeHouse Foods, DCC Healthcare, Fatro Group and Frulact. Prior to joining Skadden, Mr. Invernizzi spent several years practising at a leading Italian law firm in London.
