Bio

Emanuel C. Ionescu focuses his practice on general corporate advice and international corporate and private equity transactions, including domestic and cross-border mergers and acquisitions. He also has experience in capital markets transactions and compliance matters (including U.S. compliance monitorship).

Dr. Ionescu joined Skadden in October 2018 from another major international law firm. Since joining Skadden, his significant transactions and representations include advising:

  • I Squared Capital in connection with its acquisition of PEMA Group through its portfolio company TIP Trailer Services;
  • Credit Suisse Energy Infrastructure Partners (CSEIP) in its acquisition of a 25% ownership interest in the Arkona offshore wind farm from Equinor for €500 million;
  • Picnic International B.V. in connection with an additional investment by Edeka in Picnic‘s German business, Picnic Germany;
  • SIGNA International Sports Holding GmbH and SIGNA Sports United GmbH in connection with:
    • the investment of AEON and The Central Group into SIGNA Sports United and the formation of a strategic partnership; and
    • the investment of R+V Insurance Group;
  • Castik Capital in the €273 million sale of 25% of its portfolio company Waterlogic to BCI; and
  • Goldman Sachs, Morgan Stanley, Bank of America Merrill Lynch and Barclays as bookrunners in the €2.3 billion IPO and listing of TeamViewer on the Frankfurt Stock Exchange.

Dr. Ionescu’s significant representations prior to joining Skadden include advising:

  • Diebold, Inc. in its business combination agreement with and €1.7 billion public takeover of Wincor Nixdorf AG (including integration measures, e.g., domination and profit and loss transfer agreement, as well as general corporate law and capital markets-related matters);
  • IHO Holding GmbH & Co. KG, the holding company of the Schaeffler family, in its acquisition of ATESTEO, an international drivetrain testing specialist;
  • Deutsche Bank, Goldman Sachs and the other underwriters in the IPO of innogy SE, with a total offering size of €5 billion;
  • Exyte (formerly known as M+W Group), a German builder of high-tech facilities for the semiconductor industry, in connection with its IPO valuing the company at about €3 billion (abandoned);
  • Seattle Genetics, Inc. in connection with its multimillion-euro bid for Ganymed AG;
  • the merchant banking division of Goldman Sachs in connection with its multimillion-euro bid for a European packaging manufacturer; and
  • Volkswagen AG in connection with independent U.S. compliance auditing and monitoring relating to a diesel issue.
