Bio
Mr. Jia’s practice encompasses transactions involving public and private companies and institutional investors across a diverse range of industries, including technology, digital assets, fintech, e-commerce and consumer services. He has significant experience handling transactions for companies based in Asia.
Mr. Jia’s significant capital markets representations include:
- DiDi Global, Inc. in its US$4.4 billion initial public offering of American Depositary Shares and listing on the New York Stock Exchange
- Antalpha in its US$56.7 million IPO of American Depositary Shares and listing on Nasdaq
- DPC Dash Ltd, Domino’s Pizza’s exclusive master franchisee in the Chinese mainland, in its US$75 million initial public offering of shares and listing on the Hong Kong Stock Exchange
- Niu Technologies in its US$63 million initial public offering of American depositary shares and listing on Nasdaq
- Royal Caribbean Group in its US$1.5 billion equity offering; US$575 million equity offering; US$1 billion at-the-market equity program; and US$575 million Rule 144A offering of 2.875% convertible senior notes due 2023
- Arbor Realty Trust, Inc. in its US$104 million offering of common stock
- NeoGames S.A. in its US$82 million initial public offering of ordinary shares (representing the underwriters)
- various SPAC initial public offerings, totaling US$1.2 billion, including those of NextGen Acquisition Corporation, NextGen Acquisition Corp. II, Acies Acquisition Corp. (representing the underwriters) and Catcha Investment Corp. (representing the underwriters)
- Becton, Dickinson and Company in its US$1 billion offering of 1.975% notes due 2031 and its €600 million offering of 1.213% notes due 2036
Mr. Jia’s significant M&A representations include:
- ByteDance Ltd. in the sale of Moonton Holdings Limited to Savvy Games Group for a purchase price reported to be above US$6 billion
- TikTok in its US$1.5 billion strategic partnership with PT GoTo Gojek Tokopedia Tbk
- DiDi Global Inc. in its sale of its smart vehicle manufacturing business to XPeng Inc., in a transaction valued at up to US$744 million
- SHEIN in its strategic partnership with SPARC Group Holdings II LLC
- Baidu, Inc. in its US$2.1 billion acquisition of JOYY Inc.’s live streaming business in China
- DPC Dash Ltd, Domino’s Pizza’s master franchisee in China, in its US$50 million equity financing
- SSG Capital Holdings Limited in its sale of a controlling stake to Ares Management Corporation
- Affiliated Managers Group, Inc. in its acquisition of a minority equity interest in Comvest Partners
Mr. Jia also advises clients on corporate governance issues, compliance with the U.S. securities laws, including periodic and current filings with the SEC, and other compliance and regulatory matters.
Mr. Jia joined Skadden’s New York office in 2019, before subsequently relocating to Hong Kong. He is a native speaker of English, Mandarin and Cantonese.
