Tracy Lee advises on a wide range of capital markets and corporate matters, spanning IPOs (primary listings and secondary listings), spin-offs, follow-on equity and debt securities offerings, mergers, acquisitions and other post-listing compliance representations, as well as on general corporate issues and regulatory work.
Bio
Ms. Lee has worked with clients across a broad spectrum of industries, including technology, internet, health care, consumer goods, automotive, education, transportation and logistics, food and beverage, and finance.
Ms. Lee’s representation prior to and since joining Skadden include:
- Midea Group Co., Ltd. in its US$4.6 billion IPO of H shares and listing on the Hong Kong Stock Exchange
- Weibo Corporation in its US$385 million global offering and secondary listing of Class A ordinary shares on the Hong Kong Stock Exchange; and US$330 million Rule 144A offering of 1.375% convertible senior notes due 2030
- NIO, Inc. in its secondary listing, by way of introduction, of its Class A ordinary shares on the Main Board of the Hong Kong Stock Exchange
- ZTO Express (Cayman) Limited in its US$1 billion Rule 144A offering of 1.50% convertible senior notes due 2027; and its voluntary conversion from secondary to dual-primary listing on the Hong Kong Stock Exchange
- MINISO Group Holding Limited in its:
- US$550 million Regulation S offering of equity-linked securities
- US$900 million acquisition of significant stake in Yonghui Superstores, a leading retail chain in China
- HK$567 million (US$72 million) offering of Class A ordinary shares and dual-primary listing on the Hong Kong Stock Exchange
- Lufax Holding Ltd. in its acquisition of Ping An OneConnect Bank from OneConnect Financial Technology Co., Ltd of HK$933 million (US$119 million), which involved obtaining consent from the Hong Kong Monetary Authority for a change of majority shareholder controller of authorized institution under the Banking Ordinance (Cap. 155)
- Kingsoft Cloud in its US$282 million public offering of American depositary shares and concurrent private placement (representing the underwriters)
- CaoCao Inc. in its US$263 million IPO and listing on the Hong Kong Stock Exchange
- Mininglamp Technology in its US$131 million IPO and listing on the Hong Kong Stock Exchange
- Guming Holdings Limited in its US$232 million IPO and listing on the Hong Kong Stock Exchange

Prior to joining Skadden, Ms. Lee worked on client secondment to Goldman Sachs’ Investment Banking Division — Legal, covering Asia ex-Japan, where she assisted bankers and deal teams on a wide range of transactions, including IPOs, mergers, acquisitions, DCM transactions and block trades, amongst others. In addition, while working at another international law firm, she was seconded to the TMT team of the firm’s Singapore office.
