Bio
Teresa Lotufo advises companies, boards of directors, sponsors, creditors and other stakeholders on complex cross-border financial restructurings, insolvencies, bankruptcy proceedings and associated disputes in jurisdictions around the world.
Ms. Lotufo’s representations include advising:
- New Fortress Energy on the restructuring of more than $9 billion of debt through two interconditional English restructuring plans and related Chapter 15 recognition proceedings in the U.S.
- Ireland-registered pharmaceutical group Endo on cross-border transactions arising in connection with its transnational Chapter 11 cases involving $8 billion of debt and mass tort claims, including successfully resolving multiple complex adversary proceedings and contested matters
- RWE, an energy trading company, in connection with rights and claims arising under commodities trading agreements with affiliates of Enviva Inc., including advising on pre-insolvency disputes, representing RWE as Enviva’s largest unsecured creditor in its Chapter 11 proceedings and the assignment of RWE’s claims to a third-party purchaser
Ms. Lotufo’s experience prior to joining Skadden includes representing:
- Ocyan (formerly OOG), one of Brazil’s leading offshore oil drilling companies, in the restructuring of approximately $5 billion of indebtedness through a Brazilian extrajudicial reorganization proceeding and related Chapter 15 proceedings in the U.S. The transaction received a Latin Lawyer Deal of the Year award (Restructuring)
- OEC Group, the construction services arm of the Novonor Group, in its restructuring through a Brazilian extrajudicial reorganization proceeding and a related consent solicitation to restructure approximately $3.3 billion aggregate principal amount of seven series of notes
- two Dutch subsidiaries of Oi S.A. and their court-appointed trustees in litigation arising from the judicial reorganization of the Oi group, one of Brazil’s largest integrated telecommunications providers, involving approximately $20 billion of debt and related Chapter 15 proceedings in the U.S.
