Lindsey McDonald advises public and private companies on U.S. and cross-border mergers, acquisitions, divestitures, carve-outs, strategic investments, securities offerings and other corporate matters.
Select representations include:
- EPS Ventures Ltd in its $520 million take-private acquisition of the outstanding shares of Cool Company Ltd. that it did not already own
- Investindustrial in its $220 million acquisition of Kiremko Group B.V., Idaho Steel Products, Inc. and Reyco Systems, Inc.
- Silver Rock Financial, a credit asset manager with over $10 billion in assets under management, in Mubadala Capital’s acquisition of a significant minority stake in the company
- The Sage Group plc in its acquisitions of Lockstep and Fyle Technologies Private Limited, as well as in certain corporate restructurings
- D.E. Shaw Renewable Investments in its $1.7 billion sale of a significant minority stake to funds managed by Macquarie Asset Management
- CC Capital in its $250 million investment in The Westaim Corporation
- Honeywell in its $1.9 billion acquisition of CAES Systems Holdings LLC
- Apartment Income REIT Corp. in its $10 billion take-private transaction with Blackstone

- Ritchie Bros. Auctioneers Incorporated in its $1.35 billion Rule 144A offering of senior notes
- Crane Co. in connection with the divestiture of its legacy asbestos liabilities and its spin-off transaction resulting in two separate public companies
- Permira Funds and its portfolio companies in the $2.2 billion sale of DiversiTech to Partners Group
