Vikram J. Pandit
Bio
Vikram J. Pandit advises on all aspects of EU, U.K. and international competition law, including merger control, digital regulation, antitrust compliance, abuse of dominance and cartels. Mr. Pandit has been involved in several major complex multijurisdictional merger control cases before the European Commission (EC), U.K. Competition and Markets Authority and other EU and international authorities, as well as in significant behavioural matters before the EC.
Mr. Pandit also has experience advising global technology clients on the implications of digital regulations, including the EU Digital Markets Act (DMA) and UK Digital Markets, Competition and Consumers Act (DMCC), including notifications and compliance. In addition, Mr. Pandit has advised international sports leagues on antitrust compliance issues under European and U.K. competition law in relation to collaboration and distribution agreements.
Mr. Pandit’s experience includes advising:
- Visa Inc. on its $2.4 billion acquisition of BioCatch Inc.
- Prosus N.V. on the antitrust aspects of its €4.1 billion acquisition of Just Eat Takeaway.com N.V., creating the world’s fourth-largest food delivery group
- Tidewater Inc. on its $500 million acquisition of Wilson Sons Ultratug Participações S.A. and its affiliate Atlantic Offshore Services S.A.
- Scopely, Inc. on its acquisition of a majority stake in the Turkish development studio behind “Pixel Flow!”
- PayPal, Inc. on the antitrust aspects of its acquisition of Shopware AG
- NXP Semiconductors, N.V. on:
- the sale of its MEMS sensors business to STMicroelectronics N.V. for $900 million upfront and $50 million in future milestone payments
- its $625 million acquisition of TTTech Auto
- International Paper Company on its $9.9 billion acquisition of DS Smith Plc
- Nokia Corporation on its $2.3 billion acquisition of Infinera Corporation
- Activision Blizzard Inc. on its $75 billion acquisition by Microsoft Corporation
- ByteDance Limited on matters relating to the EC’s decision to designate ByteDance’s TikTok platform as a “gatekeeper” under the DMA
- Södra in relation to the EC’s investigation into pricing in the wood pulp sector. The EC raided the premises of Södra and other wood pulp companies, but terminated the investigation without an infringement finding
- Aspen Pharmacare Holdings in relation to the implementation of commitments accepted by the EC that ended its investigation into excessive pricing allegations without an infringement finding
Mr. Pandit also has an active pro bono practice, which has included representing clients seeking welfare benefits or asylum, as well as death penalty appeals in the U.S.
