Clive Wells advises on a wide range of banking matters, including acquisition and leveraged finance, investment grade acquisitions, property finance, project finance and structured finance transactions.


Clive advises on restructurings, reconstructions and workouts. Clive advises senior, second lien, mezzanine and other junior lenders, private equity and other sponsors, borrowers and financial advisors.

Since joining Skadden, Clive has advised on a number of significant transactions, including: 

  • Ball Corporation in its proposed US$8.4 billion acquisition of Rexam PLC;
  • Colfax Corporation, a manufacturer of fluid handling products, in the financing aspects of its US$2.4 billion acquisition of Charter International plc; 
  • Vitol Group and Helios Investment Partners in the acquisition and in the financing aspects of their acquisition of the majority of Shell’s stake in most of its existing African downstream businesses (retail, commercial, fuels, liquefied petroleum gas, lubricants, bitumen, aviation and marine) spanning 14 African countries; 
  • J.C. Flowers & Co. in the financing aspects of its acquisition of a controlling stake in Compagnie Européenne de Prévoyance, a leading French loan insurance broker;
  • Evraz Group S.A. in connection with the restructuring of approximately US$10 billion of bank loans and public debt securities; 
  • British Vita in relation to the restructuring of complex debt facilities; 
  • Three Delta LLP, the strategic adviser to Delta (Two) Limited (an investment entity ultimately controlled by the Qatar Investment Authority), in relation to its consideration of a possible offer for J Sainsbury plc and in its acquisition of a strategic stake in J Sainsbury plc; 
  • Three Delta LLP in relation to the acquisition of the Four Seasons health care group; 
  • Three Delta LLP in relation to the acquisition of the Senad special schools group; 
  • Credit Suisse, London Branch as mandated lead arranger of the senior term and revolving credit facilities for AMG Advanced Metallurgical Group N.V. in connection with its initial public offer; 
  • News Corporation in connection with the financing aspects of the US$3.6 billion going-private acquisition of NDS Group plc; 
  • Citibank NA, The Royal Bank of Scotland plc, Société Générale and SEB Group in connection with their funding of a bid for a public company listed on the London Stock Exchange; 
  • Doughty Hanson’s acquisitions of Caudwell Holdings and Avanza, a Spanish bus operator; and 
  • Glick Investments LLC in relation to debt facilities relating to the Canary Wharf development.
