Skadden is acting as U.S. legal counsel to the special committee of the board of directors of Qihoo 360 Technology Co. Ltd. in an investor consortium's all-cash acquisition of the company for approximately $9.3 billion, making it China's largest going-private transaction for a U.S.-listed company. Qihoo announced on December 18 that it had entered into the merger agreement.
