Samia Makhtoum’s practice primarily focuses on cross-border and domestic M&A, capital markets and private equity transactions, as well as corporate governance and general corporate matters.

Ms. Makhtoum’s experience includes advising:

• Xavier Niel, a French billionaire investor, through Iliad Group, his European telco, and NJJ Holding, his investment fund, in connection with the acquisition from Telefonica S.A. of 100% of Telefonica’s interest in Telefonica Chile
• KPMG Associés S.A. in connection with its agreement with TowerBrook Capital Partners regarding the sale of the entire share capital of KPMG ESC & GS
• FTV Capital on its growth equity investment in N2F
• Groupe Baelen on the sale of a minority stake in SoftNext to the family office Perwyn Advisors
• LVMH on its strategic partnership with Accor regarding Orient Express
• Criteo S.A., a global technology company based in Paris and listed on Nasdaq, on:
  • its discussions with activist investor Petrus Advisers, which resulted in the nomination of an additional independent director to Criteo’s board
  • its acquisition of shares and assets of IPONWEB
• Evergaz in connection with several acquisitions of biogas plants in France and Germany and the setup of joint ventures with other infrastructure funds
• Technip Energies on the creation of a joint venture with John Cockerill in the field of green hydrogen
• Air France-KLM in connection with:
  • Apollo’s €1.5 billion investment in an ad hoc affiliate of Air France-KLM that operates the miles issuance activity of the Flying Blue loyalty program
  • Apollo’s €500 million investment in an operating affiliate of Air France that owns a pool of components dedicated to the airline’s engineering and maintenance activities
• Duck Creek Technologies, Inc. on its acquisition of Prima Solutions’ reinsurance software business from The Carlyle Group
• Capgemini SE on its sale of Odigo SAS to Apax Partners
