John Papadakis’ wide-ranging practice covers all forms of compensation and incentive arrangements.

Bio

Mr. Papadakis has extensive experience establishing equity-related incentive plans for public and private companies, both globally and in the U.K., and counseling on incentive issues in corporate transactions. He also advises on related tax, trust, corporate and securities laws, and U.K. corporate governance and institutional investor requirements.

His experience prior to joining Skadden includes advising on the incentive aspects of the following transactions:

  • Gran Tierra Energy on its approved £174 million takeover of i3 Energy plc
  • The International Stock Exchange Group Limited on its £70 million recommended takeover by Miami International Holdings Inc.
  • Equals Group plc on its £283 million recommended takeover by a consortium led by Alakazam
  • Renewi plc on its £707 million recommended takeover by Macquarie and BCI
  • Ricardo plc on its £281 million recommended takeover by WSP Global Inc.
  • Kitwave Group plc on its £251 million recommended takeover by OEP Capital Advisers
  • a Finnish-listed company on the creation and operation of an international employee share savings plan in multiple jurisdictions, including the U.S., U.K., China, Japan and Australia
  • a Chinese holdco of a former U.K.-listed company on the establishment of a cash-based plan following a takeover and the subsequent formation of a management incentive plan
  • a large chemicals company on the establishment of an international employee share option plan, as well as on the restructuring of the group and on the rollover of options into new holdco shares
  • an Australian company listed on Nasdaq on the U.K. aspects of the formation of an employee stock purchase plan
  • several French private companies on the formation of company share option and enterprise management incentives plans, as well as on the implementation of French free share plans in the U.K.
