Ms. Parker defends corporations and their directors and advisers in derivative and class action
lawsuits, as well as appraisal litigation, and books and records litigation. She litigates and argues
in trial and appellate courts in Delaware and throughout the country. Additionally, she advises
clients in litigation related to contractual disputes, including merger agreements. She has had
success for her clients at every stage of litigation, from motion practice to trial, and on appeal. Ms. Parker was named a 2016 Delaware Lawyer on the Fast Track by The Delaware Law Weekly.
Among other matters, Ms. Parker recently served as trial counsel for Panera Bread Company in a
six-day trial of an appraisal action in the Delaware Court of Chancery, which resulted in a successful judgment that set fair value at deal price minus significant synergies. Other recent clients
include Cineworld Group plc, Regal Entertainment Group, Dentsply Sirona, Inc, SmileDirectClub,
Inc., Goldman Sachs, Booz Allen Hamilton Holding, Beazer Homes USA, Inc., Express Scripts
Holding Company, Trimaran Capital Partners, LLC, American Equity Investment Life Insurance,
Vantiv, Inc., Gilead Sciences, Baxter International Inc., American Apparel and CME Group.
Ms. Parker also frequently provides advice on the Delaware General Corporation Law
(DGCL) and similar corporation codes from other states that look to Delaware as precedent,
in addition to participating in committees that review and draft important amendments to the
DGCL. She also has written numerous articles on Delaware corporation law issues, and is on
the board of editors of the treatise Mergers and Acquisitions Deal Litigation Under Delaware
Corporation Law. Ms. Parker is a member of the Delaware State Bar Association Judicial
Appointments Committee, which is involved in the selection of Delaware Supreme Court
and Chancery Court judges. Ms. Parker also has done a significant amount of pro bono work
and currently leads Skadden’s Wilmington office adult guardianship project, representing
individuals in Court of Chancery guardianship proceedings.
