Brian Paulson advises companies and investment banks on capital markets transactions, securities compliance, corporate governance and strategic transactions across a wide range of industries, including internet and digital media, semiconductors, life sciences and REITs.

Mr. Paulson regularly counsels clients on:

  • initial public offerings
  • public and private debt, equity and equity-linked securities offerings
  • corporate governance issues
  • public company disclosure issues
  • federal and state securities law compliance
  • strategic transactions

Mr. Paulson draws on significant experience representing both issuers and investment banks in debt and equity offerings. He also frequently counsels public companies on general corporate and SEC reporting matters, as well as corporate governance issues.
