Charles Shi advises public and private companies and financial institutions on a wide range of complex corporate matters, including capital markets transactions, mergers and acquisitions, and U.S. securities law compliance.

Bio

Mr. Shi has extensive experience representing issuers and underwriters in initial public offerings, secondary listings, dual primary listings, follow-on offerings and convertible bond offerings in the United States and Hong Kong. His capital markets representations include:

  • Midea Group in its US$4.6 billion H-share initial public offering and listing on the Hong Kong Stock Exchange
  • JD Health in its US$3.47 billion initial public offering and listing on the Hong Kong Stock Exchange
  • Autohome Inc. in its US$688 million secondary listing on the Hong Kong Stock Exchange
  • MINISO Group in its HK$567 million (US$72 million) offering of Class A ordinary shares and dual primary listing on the Hong Kong Stock Exchange and its US$550 million Regulation S equity-linked securities offering
  • Hesai Technology in its US$192 million initial public offering and listing on Nasdaq
  • WeRide Inc. in its US$458.5 million Nasdaq listing and concurrent private placement
  • JD Industrials in its US$390 million initial public offering and listing on the Hong Kong Stock Exchange
  • Zhiyun Health in its HK$580 million (US$74 million) initial public offering and listing on the Hong Kong Stock Exchange
  • The Generation Essentials Group in its business combination with Black Spade Acquisition II Co. and U.S. listing

Mr. Shi also regularly advises clients on cross-border mergers and acquisitions and investment transactions. His recent representations include:

  • Trip.com Group Limited in its US$3 billion sale of MakeMyTrip Class B ordinary shares
  • TikTok, Inc. in its US$1.5 billion strategic partnership with PT GoTo Gojek Tokopedia Tbk in Indonesia
  • MINISO Group in its approximately US$900 million acquisition of a stake in Yonghui Superstores, becoming its largest shareholder
  • NaaS Technology Inc. in the merger of Dada Auto with RISE Education Cayman Limited, resulting in Dada Auto becoming a wholly owned subsidiary of RISE Education, which was subsequently renamed NaaS Technology Inc.
  • the special committee of independent and disinterested directors of Huya Inc. in its proposed US$10 billion merger with DouYu International Holdings Limited
  • Sina Group Holding Company Limited, an entity led by Sina Corporation chairman Charles Chao, in its US$2.6 billion going-private acquisition of Sina Corporation
  • Yatsen Holding Limited in its US$120 million private placement of RMB-denominated convertible senior notes and warrants to investors including affiliates of Trustar Capital, Hillhouse and Yatsen’s founder

Mr. Shi also has extensive experience in representing global companies in minority investment transactions, both on the issuer and the investor sides.

In addition, Mr. Shi advises various U.S.-listed companies on U.S. securities law compliance matters.

Prior to joining Skadden, Mr. Shi worked as an associate at the New York office of another international law firm.
