Antoni Terra focuses his practice on complex merger control matters requiring EU, U.K. and international approvals. He also provides competition advice in relation to antitrust investigations, foreign subsidies, vertical agreements and compliance programs.

Bio

With more than a decade of experience, Mr. Terra represents global corporations in high-profile multijurisdictional merger control cases, including transactions involving complex remedy structures and in-depth reviews before the European Commission, the U.K. Competition and Markets Authority and Spanish, Latin American and other EU and international authorities. His experience spans a broad range of industries, including automotive, aviation, chemicals, consumer goods, e-commerce, electronics, energy, financial services, hospitality, insurance, manufacturing, media and entertainment (including music and gaming), pharmaceuticals and technology.

Mr. Terra also regularly counsels clients in connection with antitrust investigations, including proceedings before the European Commission concerning alleged anticompetitive conduct. In addition, he advises on EU foreign subsidies matters and the competition implications of vertical agreements and distribution arrangements, as well as on the design and implementation of antitrust compliance programs.

Mr. Terra is a thought leader on antitrust issues in the digital, technology and AI sectors, and is a regular author, podcast contributor and speaker on competition law topics.

In recognition of his work, Mr. Terra has been named a Future Leader in Competition Law by Lexology Index (formerly Who's Who Legal), in which clients describe him as “an excellent strategic thinker” and “highly responsive,” and praise his “comprehensive understanding of EU and international merger control filings.”

  • Prosus N.V. on the antitrust aspects of its €4.1 billion acquisition of Just Eat Takeaway.com N.V.
  • NXP Semiconductors N.V. on:
    • the sale of its MEMS sensors business to STMicroelectronics N.V. for US$900 million upfront and US$50 million in future milestone payments
    • its US$625 million acquisition of TTTech Auto
  • Vimeo, Inc. on its US$1.38 billion acquisition by Bending Spoons S.p.A.
  • Mubadala Investment Company PJSC, along with Bain Capital and Kohlberg & Company, L.L.C., on their strategic investment in PCI Pharma Services
  • Scopely, Inc. on its US$3.5 billion acquisition of the games business of Niantic, Inc.
  • Triumph Group, Inc. on its going-private acquisition by affiliates of Warburg Pincus LLC and Berkshire Partners LLC at an enterprise value of US$3 billion
  • Berry Global Group, Inc. on its acquisition by Amcor plc at a combined enterprise value of US$37 billion
  • Squarespace, Inc. on its US$7.2 billion going-private acquisition by Permira Advisers

  • ABB Ltd on the antitrust aspects of its:
