Skadden is advising CNP Assurances of France on its agreement to acquire Prudential Financial’s insurance businesses in Brazil and Mexico.
Under the terms of the agreement, CNP Assurances and its subsidiaries would acquire 100% of the share capital of Prudential of Brazil and Prudential of Mexico for an aggregate consideration of $4.025 billion. The proposed transaction is subject to required regulatory approvals and is expected to close in the second half of 2027.
CNP Assurances is an insurer and subsidiary of La Banque Postale within the La Poste Groupe. La Poste Groupe’s capital is held by the French state and Caisse des Dépôts. Prudential Financial is a global financial services institution and investment manager.
This deal is the largest in Latin America so far this year (Latinvex).
